This User Agreement ("Agreement") is entered into between Blue Gator Subsea, LLC, a Texas limited liability company ("BGS," "we," "us," or "our"), and the individual accessing or using the ROV'ers Logbook application ("User," "you," or "your"). By creating an account, checking the acceptance box below, or otherwise accessing or using ROV'ers Logbook, you agree to be legally bound by this Agreement. If you do not agree, do not use the application.

ROV'ers Logbook, including its name, design, user interface, data structures, career tracking methodology, logbook architecture, advancement gate framework, competence tracking system, and all associated software, documentation, and content (collectively, the "Platform"), is the exclusive intellectual property of Blue Gator Subsea, LLC. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal career record-keeping purposes. This license does not convey any ownership interest in the Platform or any of its components. You may not copy, reproduce, modify, distribute, reverse engineer, decompile, disassemble, or create derivative works based on the Platform or any part thereof without the prior written consent of BGS.

The concept, methodology, and design of a digital IMCA-aligned ROV personnel career logbook as implemented in this Platform represent original intellectual property developed by Blue Gator Subsea, LLC. Any unauthorized replication, adaptation, or commercialization of this concept or methodology is expressly prohibited.

By creating an account and accepting this Agreement, you acknowledge that you have been granted access to a proprietary platform embodying original concepts, design choices, and operational methodologies. In consideration of this access, you agree that for a period of two (2) years following the termination or expiration of your account, you will not, directly or indirectly:

• Develop, co-develop, fund, invest in, or assist in the development of any software application, platform, or product that substantially replicates the core concept, feature set, or methodology of ROV'ers Logbook;
• Use knowledge of the Platform's design, data structure, feature architecture, or business model gained through your use of the Platform to create or assist in creating a competing product targeting ROV pilots, technicians, supervisors, or offshore personnel in the subsea industry;
• Solicit, encourage, or assist any third party to undertake any of the activities described above.

This restriction applies globally and across all delivery formats including but not limited to web applications, mobile applications, desktop software, and paper-based systems marketed as digital alternatives. You acknowledge that this restriction is reasonable given the proprietary nature of the Platform and the harm that unauthorized replication would cause to BGS.

You retain ownership of the personal career data you enter into the Platform, including your logged dive hours, operation records, and employment history ("User Data"). BGS claims no ownership of your User Data. You may export your User Data at any time using the export features provided.

You grant BGS a limited, non-exclusive license to store, process, and display your User Data solely for the purpose of operating the Platform and providing you with its services. BGS will not sell your personal data to third parties. Aggregate, anonymized data may be used for platform improvement purposes.

You are responsible for the accuracy of data you enter. Intentional falsification of logged hours, fraudulent verification requests, or misrepresentation of qualifications or experience is a breach of this Agreement and may result in immediate account termination.

You agree to use the Platform only for lawful purposes and in accordance with this Agreement. You agree not to:

• Use the Platform for any commercial purpose other than maintaining your personal career record without written permission from BGS;
• Attempt to gain unauthorized access to any part of the Platform, its servers, or any data belonging to other users;
• Introduce malicious code, scripts, or automated tools that interfere with the Platform's operation;
• Use the Platform to misrepresent your qualifications or experience to employers, certification bodies, or any third party;
• Share your account credentials with others or create accounts on behalf of other individuals without their knowledge and consent.

The supervisor verification feature allows a designated supervisor to co-sign your logged entries. By requesting a verification, you confirm that the entry accurately reflects your actual operational experience. Requesting verification of false or inaccurate entries is a breach of this Agreement. BGS is not responsible for the accuracy of supervisor verifications and does not independently audit entry records.

The Platform is provided "as is" without warranties of any kind, express or implied. BGS does not warrant that the Platform will be error-free, uninterrupted, or that exported records will be accepted by any employer, certification body, or regulatory authority.

To the maximum extent permitted by applicable law, BGS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including loss of data, loss of career opportunities, or reliance on exported records.

BGS's total liability to you for any claim arising under this Agreement shall not exceed the amount you paid to BGS in the twelve (12) months preceding the claim.

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration in Harris County, Texas, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

BGS reserves the right to modify this Agreement at any time. We will provide notice of material changes via the email address associated with your account or through a notice within the Platform. Your continued use of the Platform following such notice constitutes your acceptance of the modified Agreement. If you do not agree to the modified terms, you must discontinue use and may request deletion of your account.

BGS may suspend or terminate your access to the Platform at any time for breach of this Agreement, non-payment of applicable subscription fees, or for any other reason at BGS's sole discretion, with or without notice. Upon termination, your license to use the Platform ceases immediately. Your User Data will be available for export for thirty (30) days following termination, after which it may be deleted.

This Agreement constitutes the entire agreement between you and BGS regarding the Platform and supersedes all prior agreements, understandings, and representations. If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
